SimpliRide Terms of Use

1. Introduction

Welcome to SimpliRide! These Terms of Use govern your access to and use of all services provided by SimpliRide, including our mobile applications, websites, and any software provided on or in connection with SimpliRide services (collectively, the “Services”). By accessing or using our Services, you agree to comply with and be bound by these terms, which establish a contractual relationship between you and SimpliRide. If you do not agree to these terms, you may not access or use our Services.

2. Using Our Services

Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction (if different than 18) to use SimpliRide Services. You represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions.

User Accounts: To use most aspects of the Services, you must register for and maintain an active personal user Services account ('Account'). Account registration requires you to submit to SimpliRide certain personal information, such as your name, address, mobile phone number, and age, as well as at least one valid payment method supported by SimpliRide.

Prohibited Uses: You may not use the Services to cause nuisance, annoyance, inconvenience, or property damage to any other party. You are not permitted to reproduce, modify, distribute, sell, or lease any part of our Services. Additionally, you may not reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictions.

3. SimpliRide Platform

Services Offered: SimpliRide provides a platform for users to request rides from independent third-party providers of such services, under agreement with SimpliRide or certain of SimpliRide's affiliates. The provision of the rides by the third-party provider to you is subject to the agreement between you and the third-party provider.

Service Modifications: SimpliRide may, in its sole discretion, create promotional codes that may be redeemed for Account credit or other features or benefits related to the Services and/or a third-party provider's services, subject to terms that SimpliRide may establish on a per promotional code basis.

4. Driver and Vehicle Compliance

Drivers are independent contractors and are solely responsible for:

Maintaining valid driver's licenses

Vehicle registration and roadworthiness

Compliance with all applicable transport laws and regulations

SimpliRide shall not be liable for any regulatory breaches by drivers.

5. Acceptable Use

Users shall not:

Engage in fraudulent, abusive, or illegal conduct

Harass drivers or other users

Misuse the platform for unlawful purposes

6. Safety and Incident Reporting

SimpliRide is committed to promoting a safe and reliable experience for all users. However, as a technology platform that connects riders and drivers, SimpliRide does not assume responsibility for the conduct of users or guarantee safety at all times. In the event of an emergency or immediate safety concern, users are strongly advised to contact the appropriate local authorities without delay.

Users are encouraged to promptly report any incidents, concerns, or unsafe behavior through the SimpliRide platform to enable timely review and appropriate action.

7. Pricing and Payments

Charges: By using the Services you acknowledge that your use of the Services may result in applicable fees for the services you receive (“Charges”). Following the completion of a service, SimpliRide will facilitate the collection of such Charges on behalf of the independent third-party service provider.

Payment Methods: Charges may include applicable taxes and government-imposed fees, of which, you agree to pay all amounts due promptly. SimpliRide may revise its pricing or fees at its discretion, subject to applicable laws.

Payments are generally final and non-refundable; however, refunds or adjustments may be issued at SimpliRide's discretion or where required by law, without creating any obligation to do so in all cases.

8. Content

User-Generated Content: You may have the opportunity to create, post, or share content through the Services, such as text messages, ratings, and compliments. You retain all rights in any content that you create, post, or share, granting SimpliRide a non-exclusive license to use such content as part of our operations.

9. Disclaimers

Warranty Disclaimer: The Services are provided 'as is' and 'as available.' SimpliRide disclaims all representations and warranties, express, implied, or statutory, not expressly set out in these terms, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Suspension and Termination

SimpliRide may suspend or terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof for:

Fraud or suspected fraud

Violation of these Terms

Safety concerns

11. Intellectual Property

All intellectual property rights in the Services belong to SimpliRide. Users may not copy, modify, or distribute any part of the Services.

12. Data Usage

Your use of the Services is also governed by our Privacy Policy.

13. Force Majeure

SimpliRide shall not be liable for delays or failure due to events beyond its control including government actions, strikes, or civil unrest.

14. Liability

Limitation of Liability: SimpliRide shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the Services.

15. Indemnity

Indemnification: You agree to indemnify and hold SimpliRide and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with your use of the Services, your breach or violation of any of these Terms, or your violation of the rights of any third party.

16. Governing Law

Jurisdiction: The Terms are governed by and construed in accordance with the laws of Nigeria, without giving effect to any principles of conflicts of law.

17. Dispute Resolution

Arbitration: Any dispute, conflict, claim, or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction, or its enforceability shall be first resolved through mediation. Where unresolved, disputes shall be referred to arbitration in Abuja under the Arbitration and Mediation Act 2023.

18. Changes to Terms

SimpliRide reserves the right to modify these Terms at any time.
